X-Energy ($XE) IPO: Everything You Need to Know

X-Energy ($XE), a nuclear technology company developing small modular reactors and advanced nuclear fuel, has filed a draft registration statement with the SEC ahead of a planned Nasdaq listing. The IPO valuation has not yet been announced. This is not the company’s first attempt at going public — in 2022, X-Energy entered into a SPAC merger agreement with Ares Acquisition Corporation, which was ultimately terminated in 2023, at which point the company had been valued at approximately $2.2 billion. The company now pursues a traditional IPO path and plans to list under the ticker symbol $XE. In this article, we break down the key insights from its IPO filing.
Business Model
X-Energy operates across two core technology platforms: the Xe-100 small modular reactor and TRISO-X nuclear fuel. The company positions itself as a technology and fuel supplier rather than a long-term owner or operator of nuclear plants, with plans to generate revenue through technology licensing fees, engineering and project services, and recurring nuclear fuel sales.
Near-term revenue is largely driven by government-linked contracts and development services, primarily through the U.S. Department of Energy’s Advanced Reactor Demonstration Program (ARDP), a public-private cost-share arrangement under which DOE reimburses approximately 50% of eligible costs up to $1.2 billion through 2027. Commercial customers include Dow and Amazon, both of whom have signed agreements tied to early Xe-100 deployments.
On the fuel side, X-Energy is constructing TX-1, described as the first commercial advanced nuclear fuel fabrication facility in the United States, located in Oak Ridge, Tennessee. The facility is designed to produce TRISO-X pebble fuel, a specialized fuel form used in the Xe-100 reactor, with operations targeted to begin in the first half of 2028. The company received an NRC special nuclear material license in February 2026, permitting it to acquire and possess nuclear material for fuel production.
Financial Numbers and Key Metrics
X-Energy’s filing shows a company still in the pre-commercial phase, with revenue driven almost entirely by services and government grants rather than product sales. In 2025, the company reported total revenue and grant income of $109.1 million, down about 9% from $120.2 million in 2024. Services revenue grew 12% year-over-year to $94.3 million, while grant income fell sharply from $36.2 million to $14.8 million as ARDP reimbursements declined.
The U.S. Department of Energy accounted for approximately 82% of total revenue and grant income in 2025, reflecting a high degree of customer concentration. The company is not yet profitable, reporting a 2025 operating loss of $170.3 million and a net loss of $389.9 million. The net loss figure is heavily influenced by non-cash fair value movements on warrant liabilities; operating cash outflow was $149.9 million for the year, a more practical measure of cash consumption.
Despite these losses, X-Energy reported a strong liquidity position at year-end, with $458.9 million in cash and $566.4 million in investments, and no debt outstanding. The company also spent $117.2 million in capital expenditures in 2025, largely related to TX-1 construction, of which $54.8 million was reimbursed under government grants.

Commercialization Plans and Key Partnerships
X-Energy’s commercialization strategy is anchored by two flagship projects. A Dow-led deployment at a Gulf Coast site in Seadrift, Texas received an NRC construction permit application in March 2025, with permit issuance anticipated in Q1 2027 and commercial operations targeted in the early 2030s. A second project backed by Amazon and Energy Northwest is targeting an NRC construction permit application by end of 2026, with commercial operations also expected in the early 2030s and the potential to bring over 5 GWe of capacity online by 2039.
Amazon’s contractual terms are particularly notable. According to the filing, Amazon holds first-priority manufacturing queue slots across 2031 to 2039, a right of first refusal on a portion of scheduled deliveries, and most-favored-nation pricing terms. Beyond the U.S., X-Energy has signed a non-binding joint development agreement with Centrica to explore deployment in the United Kingdom, and maintains a framework agreement with Ontario Power Generation for industrial applications in Canada.
The company has also secured a 10-year graphite supply agreement with SGL Carbon valued at over $100 million for the initial three-year award, and a reservation agreement with Doosan Enerbility for forging capacity covering 16 reactor sets.
Recent Funding
Prior to its IPO filing, X-Energy closed an oversubscribed $700 million Series D financing round in November 2025, led by Jane Street. New investors in the round included ARK Invest, Galvanize, Hood River Capital Management, Point72, Reaves Asset Management, and XTX Ventures, alongside existing investors such as Ares Management, Emerson Collective, and NGP. The round brought X-Energy’s total funding raised to approximately $1.8 billion.
Conclusion
X-Energy is entering the public markets at a time when interest in nuclear energy as a clean, reliable power source has never been higher, driven in part by surging electricity demand from AI infrastructure. The company has made meaningful progress securing partnerships, government funding, and supply chain agreements, but commercial reactor delivery remains years away. For investors considering the IPO, the key question will be whether the early 2030s timeline holds — and at what valuation the market is willing to price that bet today.
